Terms and Conditions for the Sale of Goods on the Sheridan Website

Part A: Introduction

These terms govern the use of sheridan.com.au (Website). By accessing, using, browsing, registering with, contributing to or purchasing from any area of the Website, you agree that your access to, use of, and purchase of any goods from the Website is subject to these terms and all applicable laws, and is at your own risk. If you do not agree to these terms in their entirety, you must not use this Website. When purchasing goods from the Website, these Terms and Conditions form a contract between the customer (you) and HBI Holdings Australasia Pty Ltd’s subsidiary Sheridan Australia Pty Ltd ACN: 094 091 380 and apply to the ordering, purchase, fulfilment and delivery of goods from the Website. Please read these Terms and Conditions carefully before placing your Order as these Terms and Conditions contain important information about the ordering, processing, fulfilment and delivery of goods, including limitations of liability.

Importantly, this means that if you are buying products from Sheridan Online:

  • you agree to the terms on this page (see clause 2);
  • once you place an order, you cannot cancel the order, but can take advantage of our Returns policy (see clauses 3, 4 & 10);
  • we can cancel or reject orders, but will refund anything you paid us for the order (see clauses 4 & 5);
  • you own the products once we hand them to the delivery agent (eg Australia Post) (see clause 7);
  • you have rights as a consumer under Australian national and State laws that we cannot (and won’t) avoid. However, any liability that we are legally allowed to exclude, is excluded (see clause 26);
  • if you are a Sheridan Rewards member, you are responsible for all activity that occurs using your membership details (see Part D);
  • any content (eg competition entries) you submit on the website (other than personal information of course!) will be owned by us (see Part E);
  • if we suffer loss due to your breach of these terms, you agree to cover us for the loss if we ask (see clause 26.4);
  • your purchase is regarded as occurring in Kew, Victoria where our Head Office is based, and these terms are governed by Victorian law (see clause 29);
  • we may amend or update these terms at any time by posting changes at this Website, without giving notice to you. By continuing to use this Website, you agree to those changes or updates to these terms (see clause 29).

1. Definitions

The following definitions are used in these Terms and Conditions.

Business Day means a week day in which trading banks are open for the transaction of banking business in Sydney, Australia.

Delivery Address means the address to which the Goods are to be delivered as stated on the electronic Order form on the Website.

Delivery Agent means any nominated third party delivery or shipping company for Sheridan Online.

Delivery Fee means the fees charged by Sheridan for the delivery of Goods.

Gift Cards means an electronic gift card through the acquisition of which you or a recipient may make non-cash payments for goods from Sheridan Online, https://wwws-au1.givex.com/cws4.0/hanesbrandsaus/ or in-store.

Goods means the items offered for sale, described or displayed on the Website.

GST:

  1. in relation to orders for delivery in Australia, has the meaning provided by A New Tax System (Goods and Services Tax) Act 1999 (Cth);
  2. means, in relation to orders for delivery in New Zealand, goods and services tax imposed by the Goods and Services Tax Act 1985 (NZ).

Law means any written rule or collection of rules, including, but not limited to any statute, regulation, order or rule, any government ordinance or by-law, any governmental agency's rule, regulation or determination, and any form of custom or policy recognised and enforced by judicial decision.

Order means a request by you to purchase Goods from Sheridan Online.

Personal Information has the meaning as defined under the Privacy Act 1988 (Cth), except where you are based in New Zealand in which case it has the meaning as defined in the Privacy Act 1993 (NZ).

Price means the purchase price of each Good as specified on the Website in Australian dollars (for the avoidance of doubt, in Australia and New Zealand, the specified price includes GST).

Privacy Policy means the Sheridan Privacy Policy found on the Website Privacy Policy.

Returns Policy means the Sheridan Returns Policy found on the Website Returns Policy.

Tax means any goods and services tax, value added tax, or other taxes, import fees, duties, tariffs, or other imposts or charges which may be payable in relation to your order.

Terms and Conditions means these terms and conditions, as amended from time to time.

We or Us or Our or Sheridan or Sheridan Online means Sheridan Australia Pty Ltd, ACN 094 091 380.

You or Your means you as the user of the Website, including as a purchaser of Goods from Sheridan.

 

Part B: Specific Terms and Conditions for the Sale of Goods on the Sheridan Website

 

2. Compliance With Terms And Conditions

2.1. You agree to be bound by these Terms and Conditions when you submit an Order.

2.2. Each Order you submit will be a separate and binding agreement between you and Sheridan Online with respect to the supply of Goods, in accordance with these Terms and Conditions.

3. Placing Orders For Goods

3.1. You may place an Order through the Website by submitting the electronic Order form on the Website.

3.2. An Order submitted by you on the Website in the manner described in clause 3.1 is an offer by you to purchase Goods for the Price (plus any Delivery Fee and, for the avoidance of doubt, for deliveries to Australia and New Zealand, GST) as specified at the time you submit your Order. That offer cannot be withdrawn by you without our prior consent.

3.3. You acknowledge that all Orders through the Website are with respect to Goods intended for personal and domestic use only (not for re-sale or commercial use) and quantity restrictions may apply.

3.4. In completing the electronic Order form, you agree to provide complete and accurate information as to your personal details (or those of your nominated recipient for gifts) to enable the processing and delivery of your Order. This information will also be used by the Delivery Agent to fulfil your Order. Sheridan Online will not be liable to you for your loss or those of any third party for a delay or failure to process, fulfil or deliver Goods to you (or your nominated recipient) due to inaccurate or incomplete personal details provided in respect of an Order by you. Without limitation, if you provide inaccurate shipping details in an Order, Sheridan is under no obligation to resend your Order if it is shipped to the address provided in the Order and not subsequently returned to Sheridan. You agree to obtain consent from the recipient of a gift when providing their personal details to Sheridan Online.

3.5. You may Order from Sheridan Online if you are aged 18 years or over, have an active email account and a telephone number at which you can be easily contacted.

3.6. You must check your Order carefully prior to submitting your Order with us. Once you submit your Order, cancellations of your Order or changes to the Goods in your Order may only be made by agreement unless otherwise required by law. However, we will allow you to return Goods in accordance with the Returns Policy.

3.7. Where you place consecutive or separate Orders for Goods, we cannot consolidate the Orders into one. A separate Delivery Fee will apply to each Order in accordance with clause 7.

3.8. You will be provided with an automatic Order number upon submission of your Order to the Website. The Order number is required when contacting our Customer Service Centre.

3.9. In submitting an Order you represent and warrant to Bonds Online that:

  1. you are over the age of 18;
  2. you have read and agree to these Terms and Conditions; and
  3. you have complied with all applicable Laws.

4. Acceptance And Rejection Of Orders

4.1. Sheridan Online reserves the right to accept or reject your Order for any reason at any time. Without limitation, due to legal and other restrictions applicable for orders placed for international delivery, some of our products may not be available for delivery to certain locations outside Australia. Sheridan retains the right to determine what it can and cannot deliver to any particular location.

4.2. When we accept an Order, it represents an agreement by Sheridan Online to supply you the Goods in accordance with the Order and these Terms and Conditions. An Order is accepted when we ship Goods to you.

4.3. In the event that we reject an Order under clause 4.1, we will notify you of that rejection and the reason for rejection via email within five (5) Business Days after the placement of the Order wherever possible. Sheridan Online will not be liable to you for your loss or that of any third party for the rejection of an Order.

4.4. Where we reject an Order and your payment for the Goods has already been processed, we will refund any money paid to us in respect of that Order and make reasonable endeavours to process the refund within five (5) Business Days. Your receipt of your refund will depend on the period of time it takes your financial institution to finalise the refund. Sheridan Online is not liable with respect to any loss, damage, cost, expense or injury you or any third party incurs as a result of any delay in processing your refund.

4.5. If we are unable to contact you in relation to your Order under these Terms and Conditions using the contact details you provide during the Order process after having made reasonable attempts to contact you, we will reject the Order in accordance with this clause 4.

5. Availability Of Goods

5.1. You acknowledge and agree that from time to time, some Goods on the Website may be out of stock or unavailable and we may not be able to fulfil all or part of your Order. If this occurs, Sheridan Online will contact you within five (5) Business Days to arrange a full or partial refund. We will use reasonable endeavours to process the refund within five (5) Business Days. Your receipt of your refund will depend on the period of time it takes your financial institution to finalise the refund. Sheridan Online is not liable with respect to any loss you or any third party might suffer as a result of any delay in processing your refund.

5.2. We reserve the right to withdraw or suspend any Good displayed on the Website from sale either temporarily or permanently at any time without notice to you. Sheridan Online will not be liable to you for any loss you or any third party suffers as a result of a withdrawal or suspension of availability with respect to a particular Good.

5.3. Where your Order is affected by an error on the Website (for example, in relation to a description of Goods, an image, Price or otherwise), we may reject the part of the Order that is the subject of the error in accordance with clause 4. If applicable, Sheridan Online will proceed to fulfill the remainder of your Order in accordance with these Terms and Conditions. If you are not satisfied with the partial fulfillment of your Order, you can return your entire Order to us as an order that has been incorrectly delivered in accordance with the Returns Policy.

5.4. You acknowledge and agree that:

  1. all pictures and images of Goods displayed on the Website are for illustration purposes only, and the sizes and dimensions of Goods may differ in real life;
  2. you have read any corresponding written description of the Goods prior to submitting your Order;
  3. the colour of Goods as shown on the Website may vary slightly in shade in real life;
  4. where we provide sizing or other measurements in the descriptions of a Good (where applicable), it is your responsibility to ensure that the actual size of each item is suitable for your purpose prior to submitting your Order; and
  5. any accessory featured with the Goods is for illustration purposes only.

6. Price and Payment

6.1. The Price in respect of a Good is specified on the Website.

6.2. Prices are displayed and charged in Australian Dollars. Where you access the website from an IP address located within Australia, Prices displayed will include GST.

6.3. Sheridan Online reserves the right to change or alter Prices of Goods on the Website without notice to you, unless you have already submitted an Order at a stipulated Price, in which case there will be no change or alteration in the Price (provided your Order is not affected by an obvious pricing error, in which case the procedure in clause 5.3 will apply).

6.4. In respect of any Order, we will charge you and you agree to pay:

  1. the Price (which is the Price at the time the Order is submitted in AUD); and
  2. the Delivery Fee (if any).

6.5. You can pay for your Goods by any of the methods specified on the electronic Order form on the Website from time to time. When paying by credit card, you authorise Sheridan Online to debit your nominated card at the time you submit your Order. The name on the credit card used for the payment must match the name on the Order.

6.6. You acknowledge and agree that any payment in respect of an Order must be cleared by Sheridan Online before Goods which are the subject of an Order are dispatched. If your payment cannot be processed, your Order will be rejected in accordance with these Terms and Conditions and you will be notified of this on the Website. In relation to credit cards, you should contact your card issuer in the first instance to try to resolve any problem concerning the use of your credit card, or use an alternative payment method in order to continue with your Order.

6.7. In paying or attempting to pay for the Goods, you agree that you have not engaged in any fraudulent conduct or contravened any Law.

6.8. You will receive an invoice by email once payment in respect of your Order has been processed.

6.9. Sheridan Online uses an encrypted payment gateway and security certificate to secure payments. Whilst we take all reasonable precautions, we cannot guarantee the security of any transaction.

7. Delivery

7.1. Sheridan Online uses Delivery Agents to deliver your Goods. You agree to your details including your Delivery Address being supplied to the Delivery Agent for the purpose of delivering your Goods.

7.2. You should refer to the Delivery and Shipping section of the website for the applicable Delivery Fee for the Goods.

7.3. Indicative delivery time frames are set out in the Delivery Shipping section of the Website.

7.4. You acknowledge and agree that notwithstanding anything else stated on the Website:

  1. Sheridan Online cannot guarantee that delivery will occur in the stated delivery time frames;
  2. delivery time frames may change from time to time due to unforeseen circumstances; and
  3. except where required by applicable law, Sheridan Online is not liable with respect to any loss, damage, cost, expense or injury you or any third party suffers as a result of a change in delivery times or a delay in delivery.

7.5. Delivery of Goods will take place at the Delivery Address specified by you during the Order process. You will need to submit separate Orders for Goods where you require multiple delivery destinations.

7.6. If we are unable to deliver your Goods to the Delivery Address due to the size of the package or because there are restrictions on access to the Delivery Address or it is unsafe or impractical to make delivery, a calling card will be left for you notifying you where the Goods have been delivered for collection by you. It is your responsibility to follow the instructions stated on the calling card. Within Australia, undeliverable Goods will generally be left at a local Australia Post outlet.

7.7. Where you do not collect your Goods from the outlet specified on the calling card within the time required of a failed delivery, you must contact our Customer Service Centre using the details provided at the start of these Terms and Conditions for further information with respect to claiming your Order. If Goods are required to be redelivered, you may be required to pay any associated fees for redelivery.

7.8. Upon delivery, you must inspect your Goods and check that the Goods delivered match your Order. If there is obvious damage to the Goods due to transit, you must contact our Customer Service Centre as soon as practicable using the details provided at the start of these Terms and Conditions. If the Goods are not as ordered, you may return the Goods to us in accordance with the Returns Policy. If Goods are missing from your Order, you may call our Customer Service Centre, or return the Order in accordance with the Returns Policy. You should let us know about any defective, damaged, missing and incorrect Goods as soon as possible. Any Goods replaced under the Returns Policy due to being defective, damaged, missing or incorrect will be delivered to you free of charge.

8.  Click & Collect Terms and Conditions

8.1. Sheridan Click & Collect is a free service that allows you to place an order online at sheridan.com.au and then collect your purchase in store.

8.2. Click & Collect is available from selected Australian Sheridan Boutique Stores only. Please note during major sales event and promotions Click & Collect may be temporarily unavailable.

8.3. When your Click & Collect order is ready, the store will contact you via email to advise that it is available for collection. Orders will generally be available for collection within 3-5 hours during business hours from the time that you place the Order, provided there are 3 (three) hours remaining before store closing. Orders raised within the cut-off period will be processed within three hours of opening the following working day). During peak trading periods there may be delays in fulfillment. Sheridan will notify you of any expected delays to your order being available to collect from the store you have selected via email.

8.4. Click & Collect orders cannot be modified or cancelled once your order has been confirmed. In this instance, the order will be sent to your nominated store and then the standard Sheridan returns policy applies. If you are unable to attend your nominated store, please contact the store directly via the email address that can be found in your order confirmation email.

8.5. All Click & Collect orders are subject to the standard Sheridan Returns Policy. If you are not completely satisfied with your purchase, simply return the item or items to us in their original condition (including all original tags attached) within 30 days of purchase date, or 45 days for Sheridan Rewards Members. The returns options are as follows:

  1. Take goods back to store for an exchange of product or refund onto a Sheridan Gift card that can be used in any Sheridan or Sheridan Outlet including the Online stores;
  2. Take goods back to store for an refund if paid using a Gift Card or Credit Card and will need a hard copy of invoice showing the payment details;
  3. If paid via PayPal, please log onto account and return through the online method.

8.6. Sheridan will issue you with a full refund upon proof of purchase. You must provide a printed copy of the receipt or invoice for the purchased item, which will have been emailed to you as confirmation of your purchase.

8.7. Click & Collect Orders must be collected within five days from the date you are notified by email that your order is ready for collection. We will endeavour to remind you within that period that collection is available. If your order is not collected, you will be notified by the store that the order has been cancelled and a full refund will be provided using the original payment method. Please note that you may be charged a $7 administration fee for orders that are not collected.

8.8. When collecting your goods at your nominated Click & Collect store, you are required to supply a copy of your Click & Collect Notification email with unique QR code (either printed or on the screen of your smart phone) and photo identification to verify your identity.

8.9. If you are not personally available to collect the goods, you may appoint a representative to do this. Prior to collection, you must call the store and notify the staff of the identity of the nominated representative who will be collecting your goods. The representative is required to supply a copy of your Click & Collect notification email with unique QR code (either printed or on the screen of their smart phone) and photo identification at the time of collection. You agree that we will be entitled to rely on the representative's instructions as if they were your own.

8.10. Sheridan reserves the right to change or discontinue the Click & Collect service at any time, without notice.

9. Risk and Title

Risk and title in the Goods passes to you on the date and time of delivery of the Goods to the Delivery Agent.

10. Order Cancellations and Returns

10.1. Unless provided for under these Terms and Conditions, no cancellations or changes to Orders will be accepted, and the Goods will be delivered to the stated Delivery Address in accordance with these Terms and Conditions. Therefore, you should carefully check that your Order is accurate before you submit it to us. You will, however, be able to return faulty or incorrectly delivered Goods in accordance with the Returns Policy.

10.2.  Goods can only be returned under these Terms and Conditions (in particular, this clause 10) and in accordance with the Returns Policy. The Returns Policy forms a part of these Terms and Conditions.

10.3. Where we reject or cancel your Order under these Terms and Conditions, we will refund the Price of the Goods  (and any applicable Delivery Fee) to you in accordance with these Terms and Conditions. We will use reasonable endeavours to process your refund within five (5) Business Days. Your receipt of your refund will depend on the period of time it takes your financial institution to finalise the refund. Sheridan Online is not liable with respect to any loss you or any third party might suffer as a result of any delay in processing your refund.

10.4. It is a condition of most credit card schemes that refunds be processed on the same card as the original payment was made in order to minimise the possibility of fraudulent activity on cards. Sheridan Online is required to comply with all card scheme rules in order to be able to accept these card types, and as such, all of your refunds will be credited to the card you nominated in your Order.

10.5.  No exchange or refund on any product that has been personalised, unless the product is faulty. We will accept returns for faulty products. For any enquiries please call our customer service team.

11. Promotions and Discounts

11.1. Sheridan Website offers and promotions may only be used at the Website and do not apply to purchases at other online or retail outlets.

11.2.You may receive online offers and promotions which include a promotional or coupon code (Code) for use when shopping at the Website. It is your responsibility to ensure that the Code is valid, and that you enter the Code at the time of making your purchase online. We cannot apply the Code retrospectively once you have submitted your Order.

11.3. Terms and conditions will apply to the use of the offer or promotion. Please read these carefully to make sure you can take proper advantage of these offers.

11.4. Any Code is non-transferable and, unless expressly stated, may not be used in conjunction with any other offers. If your code is lost or stolen it will not be reissued.

11.5. Unless otherwise stated on the Website, any % off stated applies to the Australian recommended retail price (RRP) of items. Discounts, including % off, are not available when purchasing gift cards or where indicated on the product page.

 

Part C: Specific Gift Card Terms and Conditions

 

12. Gift Cards

12.1 In this Part C:

Pin Number means the 4-digit CODE printed on the back of the Gift Card.

Remaining Gift Card Value means, at any time, that portion of the initial value loaded onto your Gift Card which is unspent and can be accessed by using the Gift Card in accordance with these Terms and Conditions.

 A reference to "you" or "your" is a reference to the person who is in possession of the Gift Card at the relevant time for the purposes of these Terms Conditions, or who authorises another person to do something with or to the Gift Card on their behalf.

 These terms and conditions apply to all Gift Cards, whether purchased or redeemed online or via a Sheridan Retail Store or Sheridan Outlet Store in Australia.

 12.2 To purchase a Gift Card from a Sheridan Retail Store or Sheridan Outlet Store, present the Gift Card to our customer service operator. Check that the Gift Card has not been removed from the cardboard carrier and that the scratch panel on the back of the Gift Card has not been tampered with or removed. If it has been tampered with or removed, give the Gift Card to our customer service operator to be destroyed and select a new one. Nominate the value you wish to be loaded on the Gift Card. A minimum of AU$20.00 and a maximum of AU$999.00 can be loaded on each Gift Card in the currency of the country of purchase. Once you pay the operator for the Gift Card, they will activate the card and load it with the nominated value. It is then ready to use. 

 12.3 To purchase a Gift Card from the Website, navigate to the Sheridan Gift Card section of the Website and fill in the required information on the online form. Once completed add to your bag and then proceed to payment/checkout as normal.  Gift card purchases can be made with credit card and PayPal only.  Once you complete the online transaction and it is validated, the Gift Card will be sent via email to the recipient email address nominated in the form. It is then ready to use.

12.4 Once loaded with value a Sheridan Gift Card may be redeemed for the purchase of Goods on the Website or from a Sheridan Retail Store or Sheridan Outlet Store only and may not be redeemed at any other stockists of Sheridan products. A limit of AU$999 per Gift Card and Gift Cards totalling no more than AU$2,000 per order applies. Gift Cards may not be used to make purchases by phone, email or facsimile, pay store accounts or purchase other Gift Cards or other legal tender.

12.5 Gift Cards are treated like cash. If your Gift Card is lost or stolen it will not be re-issued and the value of the Gift Card will not be refunded. Re-issue of faulty or damaged Gift Cards is not available unless the Gift Cards are proven to be faulty or damaged as a result of the production process or otherwise due to the fault of Sheridan, its agents or contractors or a participating retailer.

12.6 To redeem a Gift Card at a Sheridan Retail Store or Sheridan Outlet Store, present your Gift Card to the customer service operator together with the merchandise that you wish to purchase using that Gift Card. Our customer service operator will instruct you to swipe your Gift Card in the pin pad and then enter the Pin Number into the pin pad. The transaction will be completed when the balance has reduced on your Gift Card. No change will be given for any Remaining Gift Card Value. The Remaining Gift Card Value may be used in whole or part against future purchases until the Gift Card expires.

12.7 To redeem a Gift Card at the Website, at the point of checkout, select the "Gift Card" option, proceed to Order & Pay. Enter Gift Card details requested to complete transaction.

12.8 You agree that we can reduce the Remaining Gift Card value by the value of all purchases of goods that are authorised by you. Transactions are authorised by you by swiping your Gift Card and entering your Pin Number or allowing an operator or other person to do so, at the point of sale in a Sheridan Retail Store or Sheridan Outlet Store; or giving us, or another person, details of the Gift Card and authorising the transaction in some other way.

12.9 When you authorise a transaction you are confirming that the transaction correctly represents the purchase price of the goods or services obtained and you are agreeing to pay the amount of that transaction by the reduction of the Remaining Gift Card value.

12.10 Gift Cards expire 36 months from the date of purchase. Any unused amount remaining after the expiry date of the Gift Card will not be usable, refunded or credited. Gift Cards cannot be reloaded.

12.11 Gift Cards cannot be cancelled once they are issued except if voided by Sheridan, if their value is used or if they expire. We reserve the right to void any Gift Card that appears to have been defaced, mutilated, purchased fraudulently, altered or tampered with in any way and Sheridan may subject Gift Cards to a verification process. We reserve the right to cancel any Gift Card, or the Gift Card program, for any reason at any time without notice. In such instances (except where a Gift Card is void) we will elect to provide a refund or a replacement Gift Card. We reserve the right to correct the balance of your Gift Card if we believe that a clerical or accounting error has occurred.

12.12 You will not be sent statements of transactions on a Gift Card. You can check your Gift Card balance and expiry date at any time online by clicking here, in-store at the service desk, or by calling our customer service team on 1800 223 376 or email sheridansupport@hanes.com. 12.13 You are responsible for the use and safety of your Gift Card. You are liable for all transactions on your Gift Card, except to the extent to which there has been fraud or negligence by us. If you have reason to believe that an error has occurred in relation to your Gift Card, you should call 1800 223 376 or email sheridansupport@hanes.com.

12.14 Additional terms and conditions regarding the use of Gift Cards may be set out on the Website or in a Sheridan Retail Store or Sheridan Outlet Store.

12.15 If you have used a split payment of a Gift Card and credit card/PayPal and wish to obtain a refund for the Goods purchased, your refund will be in the form of a new Gift Card with any remaining balance refunded to your credit card/PayPal.

 

Part D: Specific Sheridan Rewards Loyalty Program Terms and Conditions

 

13. Program Details

13.1. As a member of the Sheridan Rewards Loyalty Program (‘the Program’) you may be entitled to receive:

  • 20% off full price (exclusions apply. Not applicable on gift cards, physical or electronic)
  • Member only offers e.g. Members take a further 10% off
  • Free standard online delivery on all orders over $150, otherwise $9.95.
  • Free standard in-store delivery
  • Extended 45 day return policy
  • Birthday gift vouchers when you opt into email communications
  • Welcome voucher when you opt into email communications

13.2. Our offers and rewards do not apply to the Sheridan Outlet website which already has great bargains (www.sheridanoutlet.com.au) or in third party retailers who sell our products.

13.3. You cannot combine any offer from the Program with any other program, offer or promotion being run by Sheridan.

13.4. We reserve the right to change these Terms and Conditions at any time. The revised Terms and Conditions will be published on sheridan.com.au. Any amendments will apply from the date the revised Terms and Conditions are published. If you do not agree to the amended Terms and Conditions, you must immediately terminate your membership of the Program by contacting Sheridan Customer Service. Your continued use of the Program will constitute acceptance of the amended Terms and Conditions.

13.5. We may decide to suspend or discontinue the Program or any part of the Program at any time. We will contact you on the email address that you have provided if the Program is to be suspended or terminated.

14. Membership

14.1. You may apply for membership of the Program if you are aged 18 years or over and have an active email account. You will be required to complete mandatory fields including name, e-mail address and date of birth. Post code is not mandatory, but will be prompted at sign-up.

14.2.  Membership of the Program is free, however, we may refuse your application or terminate your membership for any reason and at any time.

14.3. To become a member of the Program you will need to register at www.sheridan.com.au or instore at Sheridan Boutiques or Sheridan Studio Stores. It is your responsibility to ensure you update your details if they change. Only one membership per person is permitted.

14.4. You must not allow any other person to use your membership details. You agree that you are solely responsible for all activity that occurs using your membership details, including the purchase of any goods. You also agree that you will be responsible for the conduct of any person who uses your membership details, whether or not you have authorised that use.

14.5. If you become aware of any breach of security or unauthorised access to or use of your membership details, you must immediately notify us by calling Sheridan Customer Service.

14.6. Registering with the Program constitutes your acceptance of these Terms and Conditions.

14.7. You may terminate your membership at any time and for any reason online by changing your account preferences in your customer account on www.sheridan.com.au, by requesting so in a Sheridan store at the register, or by contacting Sheridan Customer Service.

14.8. You agree that we may contact you with invitations, offers and promotions. If you do not wish to be contacted, please do not exercise the option to receive these communications when you register or you can exercise the “unsubscribe” option on these invitations, offers and promotions at any time. If you unsubscribe, you’ll still be a member of the Program, get access to any available discounts when you login using your membership and be notified of loyalty rewards, but you will not receive other invitations, offers and promotions

15. Membership Vouchers

15.1. The following terms apply to Birthday Gift Vouchers provided to Sheridan Rewards members:

  1. Birthday Vouchers will be sent to members at the beginning of the month in which they have their birthday. It is the Member’s responsibility to ensure they have provided a correct email address as vouchers will not be re-issued if sent to an address that has been incorrectly provided.
  2. Birthday vouchers may be used in Sheridan Boutique Stores, Sheridan Studio stores and online at Sheridan.com.au only. They are not redeemable in Sheridan Outlet Stores, Sheridan Outlet Online or independent retailers.
  3. A minimum transaction value may apply to your Birthday voucher. That minimum spend will be stated in the email containing the birthday voucher.  The minimum spend must occur in a single transaction.
  4. To redeem online, members must be signed in with a valid Sheridan Rewards email and the coupon code must be entered at checkout for the discount to apply.
  5. To redeem instore, a valid Sheridan Rewards email address must be provided at the time of purchase.
  6. The reward applies to the total shopping cart/transaction value after any other applicable offers have been applied. It is not available in conjunction with any other coupons, discount vouchers or gift card codes. One use per coupon. Any amount not used in the transaction will be forfeited.
  7. Not redeemable on gift cards.
  8. Birthday coupons issued from 1 July 2021 are valid in the month of the recipient’s birthday. Unused coupons will expire and their value will not be replaced or reactivated after expiry.

15.2. The following applies to Welcome vouchers provided to new Sheridan Rewards members who join either instore or online and into email communications:

  1. We endeavour to send Welcome Vouchers to new Sheridan Rewards members within 72 hours of signup. It is the Member’s responsibility to ensure they have provided a correct email address as vouchers will not be re-issued if sent to an address that has been incorrectly provided.
  2. Welcome Vouchers may only be used at Sheridan.com.au.

16. Ownership of Submissions

Other than personal information which is subject to our Privacy Policy all comments, blogs, feedback, suggestions, questions, ideas, artwork, images, product or marketing ideas and any other submissions disclosed, submitted or offered to Sheridan on or through the website or otherwise disclosed, submitted or offered by you (collectively, “Submissions”) will become and remain the property of Sheridan once submitted. You must comply with the content standards for Submissions set out in these terms. You warrant that you own or have the right to use any Submissions and that your Submissions will comply with these standards and guidelines. You warrant that you have the right to grant to Sheridan the rights set out in these terms in respect of your Submissions.

17. Social Networking Sites

These terms also govern any Submissions you make on any Sheridan related third party website or page such as our Facebook page, Instagram, YouTube or other social networking site. All comments, images, videos and any other type of material posted on any third party social networking site do not necessarily reflect the opinions or ideas of Sheridan or its employees, and Sheridan is not responsible for any such content. In any event, all material posted on any third party social networking site must comply with these terms and the third party social networking sites terms of use, as applicable.

18. Intellectual Property Rights

18.1. A disclosure, Submission or offer of any Submissions and your agreement to these terms and conditions shall constitute an assignment to Sheridan of any intellectual property rights in the disclosure or Submission.

18.2. Whenever you make use of a feature that allows you to upload material to our site, including questions, or to make contact with other users of our site or to make Submissions on any Sheridan related third party website or page, you must comply with the content standards set out below (including the spirit of those standards) and with these terms.

19. Confidentiality

19.1. Any material you upload to the Website will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any material in the Submissions for any purpose.

19.2. We have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Website or any Sheridan related third party social networking site or page constitutes a violation of their intellectual property rights, or of their right to privacy or any other rights.

19.3. We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Website. 20.5 Sheridan, in its absolute discretion, reserves the right to:

  1. not publish the Submission or remove it
  2. take any appropriate action if deemed necessary
  3. remove reviews which relate to seasonal products which are no longer in season

Except where necessary for viewing the material on the Website on your browser, or as permitted under the Australian Copyright Act 1968 (Cth) or other applicable laws or these Terms and Conditions, nothing on the Website may be copied, reproduced, adapted, uploaded to a third party, issued or communicated to the public, linked to, framed, performed in public, distributed or transmitted in any form by any process without the prior written consent of Sheridan.

21.2 This website contains registered trademarks and trademarks which are otherwise protected by law. Except as expressly authorised, the use or misuse of any of these trademarks is strictly prohibited. If you are an authorised reseller of Sheridan’s products and would like to request permission to use photography or other content from the Website for business purposes, please contact our customer service team.

22. Privacy and Use of Cookies

22.1. Personal Information, such as your contact details, that you provide to us during the Order process, in connection with a Gift Card or when making Submissions, will be kept and used by us for the purpose of for which the information was collected and in accordance with Sheridan’s Privacy Policy. You represent and warrant to Sheridan that all information (including Personal Information) and data provided by you to us through the Website is true, accurate, complete and up to date, and (where relevant) you have obtained the consent of your nominated recipient for gifts to provide their Personal Information to Us.

22.2. Cookies are small pieces of information that your browser stores on your computer hard drive. We use cookies to provide us with site usage information as well as to assist us to improve and develop the products and services we offer. Our cookies do not contain any personal identifiable information. If you disable cookies on your web browser you may not be able to fully experience all features of the Website.

25.1 The information contained on this website is provided by Sheridan in good faith. To the best of Sheridan’s knowledge, the information is accurate and current. However, this site and its contents are provided to you on "as is" basis. The site may contain errors, faults and inaccuracies and may not be complete and current. Sheridan and their related bodies corporate, and their directors, officers, employees, or agents ("Sheridan's Associates") make no representations or warranties of any kind, express or implied, as to the operation of this site or the information, content, materials or products included on this site, except as otherwise provided, and then only to the minimum extent required, under any applicable laws.

25.2. Subject to any rights you have under any consumer protection law or any other Laws that cannot be excluded, Sheridan excludes all implied terms and warranties whether statutory or otherwise, relating to the Website or the subject matter of these Terms and Conditions. You may be entitled to certain rights under consumer protection law or other Laws that cannot be excluded, including any statutory guarantees that are provided under competition and consumer legislation, including, as applicable, the Competition and Consumer Act 2010 (Cth).

26. Liability

26.1. Subject to any non-excludable liability (including under consumer laws), and the express provisions of these Terms and Conditions, Sheridan will not be liable to you or any other person for any direct, indirect, incidental, special, consequential, punitive or exemplary damages, including but not limited to damages for loss of profits, business interruption or the loss of data or information, or damages for product liability, personal injury, in contract, tort (including negligence), under statue or otherwise, howsoever caused including arising directly or indirectly from or in connection with any transaction (actual or contemplated) undertaken or attempted to be undertaken through the Website, including your membership of Sheridan Rewards, or resulting from use of goods or services supplied to you, or on your behalf, through the Website.

26.2 Subject to any non-excludable liability implied by legislation (including under consumer laws), any liability of Sheridan or Sheridan's Associates in connection with goods or services supplied to you will, at the election of Sheridan, be limited to:

  1. In relation to goods, the replacement or repair of the goods, the supply of equivalent goods, the payment of the cost of replacing or repairing the goods or the payment of the cost of obtaining equivalent goods; and
  2. In relation to Gift Cards, our maximum aggregate liability to you is limited to the Remaining Gift Card Value on your Gift Card; and
  3. In relation to services, the supply of the services again or the payment of the cost of having the services supplied again.

The above remedies are in addition to, and not in place of, your rights at law that cannot be lawfully excluded (including in Australia, under the Australian Consumer Law).

26.3. To the extent permitted by law, our liability to you for loss or damage of any kind arising out of your use of, or relating to, the Website will be reduced or limited to the extent (if any) that you cause or contribute to the loss or damage.

26.4 You agree to indemnify us (including our related companies and our and their directors, officers, employees, agents and contractors) for any loss or damage any of the foregoing suffer if you breach these Terms and Conditions.

27. Termination

Sheridan Online reserves the right to, at its discretion, terminate your access to and use of the Website:

  1. for convenience, at any time, upon provision of notice to you;
  2. immediately:
    1. if Sheridan Online reasonably believes that you have breached these Terms and Conditions, and that breach is not capable of remedy; or
    2. if you have been provided with notice of the breach, and you have failed to remedy that breach within 14 days (where the breach is able to be remedied).

28. Electronic Communications

28.1. You consent to receive communications from us electronically and agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

28.2. If located in New Zealand, you agree to be bound by any agreement reached through electronic communications as provided in the Electronic Transactions Act 2002.

29. General

29.1. Sheridan Online reserves the right at all times to make changes to these Terms and Conditions. Any variations to these Terms and Conditions will take effect from posting on the Website. The Terms and Conditions which apply at the time of Order are those that govern your relationship with Sheridan Online with respect to that Order. If you do not agree to the amended Terms and Conditions, you must immediately cease all use of the Website, including terminate your membership of Sheridan Rewards by contacting the Customer Service team. Your continued use of the Website, including any part of Sheridan Rewards, will constitute acceptance of the amended Terms and Conditions.

29.2. Sheridan Online may give notice to you by electronic mail via details you have given to us on the Website or by other reasonable means. You may give notice to Sheridan Online by email to our Customer Service Centre.

29.3. Any provision of these Terms and Conditions that is prohibited or unenforceable in any jurisdiction is ineffective as to that jurisdiction to the extent of the prohibition or unenforceability. That does not invalidate the remaining provisions of these Terms and Conditions nor affect the validity or enforceability of that provision in any other jurisdiction.

29.4. A failure or delay by Sheridan Online to exercise a power or right under these Terms and Conditions does not constitute as a waiver of that power or right, and the exercise of a power or right by Sheridan Online does not preclude its future exercise or the exercise of any power or right.

29.5. These Terms and Conditions are governed by and are to be construed in accordance with the laws applicable in Victoria. You irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in Victoria and any courts which have jurisdiction to hear appeals from any of those courts (including the Federal Court of Australia, Victoria Registry) and waive any right to object to any proceedings being brought in those courts, including in relation to any dispute in connection with a Gift Card. In any purchase of Goods, your transaction is deemed to have taken place in Kew, Victoria..

29.6. The Website may be accessed from Australia or overseas. Sheridan makes no representations that the content of the Website complies with the laws (including intellectual property laws) of any country outside Australia. If you access the Website from outside Australia, you do so at your own risk and are responsible for complying with the laws in the place where you access the Website.

29.7 Only you and Sheridan are entitled to enforce these Terms and Conditions. You may not assign, transfer or sub-contract any of your rights or obligations under these terms to any third party unless we agree. No third party shall be entitled to enforce any of these website terms, whether by virtue of legislation or otherwise.

 

Part G: Specific Terms and Conditions for Charitable Initiatives

 

30. Sheridan Sleepsafe Initiative Terms And Conditions

All monetary donations to the SleepSafe initiative are collected by Sheridan on behalf of StreetSmart Australia (ABN 51 106 387 446). StreetSmart Australia is endorsed by the ATO as a Deductible Gift Recipient and gifts of $2 or more may be tax deductible. There is no GST charged on this donation. As of 4pm on Friday 24th April, all monetary donations made to the SleepSafe initiative will be directed towards providing meal support.

31. Sheridan Recycling Program Initiative Terms And Conditions

Offer is available in Australia at Sheridan Boutique and Sheridan Studio stores. Offer is available to customers who return any brand of sheets, quilt covers or towels to the Sheridan recycling program. Customers must spend $100 or more in one transaction to receive the further 5% discount. Offer is available on full priced or reduced sheets, quilt covers and towels, unless specifically excluded in the terms and conditions. Offer excludes personalisation and gift cards. Offer can only be redeemed in the store and on the day goods are received by the stores. Goods must be laundered to be included in the recycling program. Sheridan reserves the right to refuse goods which have not been laundered or are otherwise unsuitable.

32. Terms and Conditions of Sheridan Customer Feedback Promotion.

1. Information on how to enter and the prizes form part of these Terms and Conditions. Participation in the Sheridan Australia Pty Ltd Customer Feedback Competition 
("Competition") is deemed acceptance of these Terms and Conditions.
Promoter
2. The promoter is Sheridan Australia Pty Ltd (ABN 89 094 091 380) 59 Pyrmont Street, Pyrmont, NSW 2009
Competition Period
3. The period of this Competition begins at 12:00:00am (AEST) on 1st October 2023 and ends at 11:59:59pm (AEST) on 30th September 2024. (“Competition Period”). 
Eligibility to Enter
4. Entry is only open to Australian and New Zealand residents aged 18 years and over who are current or former customers of Sheridan who have received a promotional SMS or 
email from the Promoter.
5. Employees (and their Immediate Family Members) of the Promoter or Sheridan Australia Pty Ltd, or any related body corporate of the Promoter or Sheridan Australia Pty Ltd, as 
well as any agency associated with this Competition are ineligible to enter. Immediate Family Members means any of the following: spouse, ex-spouse, de-facto, ex-de-facto,

11.The first valid entry drawn in each prize draw will win a $1000 Sheridan Gift Voucher.
12.The Sheridan Gift Voucher will be posted to the winner by registered mail and is valid for 12 months from the date of card issue. The Sheridan Gift Voucher is subject to its terms 
of issue. The Promoter accepts no liability for a defective Gift Card however, if necessary, will provide reasonable assistance to a winner to ensure a replacement Sheridan Gift Voucher is provided. 
13.Any ancillary costs associated with redeeming the Sheridan Gift Voucher are not included. Any unused balance of the Sheridan Gift Voucher will not be awarded as cash. Redemption of the Sheridan Gift Voucher is subject to any terms and conditions of the issuer including those specified on the Sheridan Gift Voucher.
Unclaimed Prize Draw/s
14.If a prize is still unclaimed after three calendar months of the original prize draw, the Promoter will conduct a further draw for the prize, subject to any directions from any regulatory authority. The unclaimed prize draw will be conducted at the same time and place as the original draw. The date for the unclaimed prize draw 1 would be on 15 July 2024. The date for the unclaimed prize draw 2 would be on 15 January 2025. The winner of an unclaimed prize draw will be notified by telephone and SMS within two (2) days of the draw. If the winner is in the ACT, they will be contacted by mail. The winner's name will be published on www.sheridan.com.au within 7 days of the prize draw.
General
15.This is not a game of skill. The single prize winner from each Prize Draw Period will be selected by Feedback ASAP Pty Ltd at random through an automatic selection process. 
16.Incomplete entries will be deemed invalid and removed from the draw. The promoter's decision is final, and no correspondence will be entered into
17.The total value of the prize pool is $2000.
18.The prize is not transferable or exchangeable and cannot be taken in any other form (including not being able to be taken as cash). 
19.Subject to the unclaimed prize draw clause 14, if for any reason a winner does not take possession of their prize by the time stipulated by the Promoter, then the prize will be forfeited.
20.The draw will be conducted by Feedback ASAP, St Kilda Rd Towers, Level 1, 1 Queens Road Melbourne, Victoria 3004.
21.If for any reason the conduct or operation of the Promotion is interfered with or disrupted in any way (including by vandalism, power failures, natural disasters, acts of God, civil unrest, strikes, computer bugs or viruses, tampering or technical failures), the Promoter reserves the right to cancel, terminate, modify, or suspend or recommence the Promotion, subject to the approval of the authorities that have issued permits for its conduct.
22.The Promoter assumes no responsibility for: (i) any error, omission, interruption, or delay in the operation or transmission of any communication including any communication sent to (or by) the Promoter or any entrant whether caused by problems with communication networks or lines, computer systems, software or internet service providers, or otherwise, (ii) any theft, destruction or unauthorized access to, or alteration of such communications; (iii) any problem with, or technical malfunction of, any computer system or other equipment used for the conduct of the Promotion; (iv) any incorrect or incomplete information which may be communicated in the course of the administering this Promotion (whether as a result of one of the foregoing causes or otherwise).
23.Nothing in these Terms and Conditions limit, exclude or modify or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act, as well as any other implied warranties under the ASIC Act or similar consumer protection laws in the State and Territories of Australia (“Non-Excludable Guarantees”). Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its respective officers, employees and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the Promotion. 
24.The Promoter assumes no responsibility for, and the entrant releases the Promoter from responsibility for, any failure to receive an entry or for inaccurate information or for any loss, claim, damage or injury to person or property (including computer systems and servers) as a result of the entrant’s participation in this promotion or the conduct of the promotion generally or as a direct or indirect result of an entrant’s error, any technical problem of any kind including communications or network failure, unauthorized access to, transferring or theft of data, whether caused by the entrant or associated with the equipment or programming used in the conduct of this promotion. If, because of any such problem, this promotion is not able to be conducted as planned and/or the promotion’s administration, security, fairness or integrity are compromised or affected, the Promoter may (where necessary with the approval of the relevant Department) cancel, terminate, modify or suspend the promotion and/or disqualify any entrant involved in interfering or tampering with the conduct of this promotion in any way.
25.Details from all entries will be collected and used for the purposes of conducting this promotion (which may include disclosure to third parties for the purpose of processing and conducting the promotion) and for publicity purposes surrounding this promotion. By entering this promotion entrants’ consent to the use of their information as described. 26.Any entrant (who the Promoter automatically enters the Competition when they provide Feedback) who no longer wishes to participate in the Competition can email support@feedbackasap.com and request for their entry to be removed from the relevant draw.

27.The Promoter may collect and use personal information submitted by you for the purpose of conducting the Promotion. Personal information may be provided to third party organizations, including but not limited to agents, contractors and service providers that assist in maintaining the survey functionality and/or conducting the Promotion, and, if required may be provided to Australian regulatory authorities. You can stop this information being used for this purpose by contacting the Promoter. All personal information will be stored at the office of the Promoter.
